1. INTRODUCTION AND SCOPE

These Terms of Service (‘Terms’) are entered into by and between Aedion LLC (‘Aedion,’ ‘we,’ ‘us,’ or ‘our’) and you, the user of the Aedion mobile application and web portal.

The Aedion Mobile Application provides:
i. Image scanning and Artificial Intelligence (AI)-powered analysis related to skin and eye conditions;
ii. A conversational AI Health Assistant that addresses general health and wellness topics (e.g., symptoms, common ailments, fitness, diet, and lifestyle);
iii. Curated educational articles and resources offering general wellness education, feature explanations, and health information.

The App is intended solely for informational and wellness purposes and includes subscription-based features that enable users to access varying levels of functionality. The Aedion Web Portal is a free, browser-based platform offering access exclusively to the conversational AI Health Assistant. The Web Portal does not include scanning features or any subscription or billing functionality.

By accessing or using the App or Web Portal (collectively, the “Service”), you agree to be bound by these Terms and the accompanying Privacy Policy. If you do not agree, do not use the Service.

2. CRITICAL DISCLAIMER OF MEDICAL ADVICE

Aedion IS NOT A MEDICAL DEVICE. THE SERVICE DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

2.1. Non-Diagnostic Scope. The Service provides AI-generated information and pattern recognition for wellness and educational purposes only. Results are not a substitute for professional medical judgment or diagnosis by a qualified healthcare provider.

2.2. AI Errors and Limitations. Aedion employs Advanced AI models, including Aedion’s proprietary CNN-based systems and secure machine-learning infrastructure. Together, these systems analyze user inputs to deliver personalized health insights and educational guidance; however, they may generate inaccurate or incomplete results. Users must understand that Tier 1 (High-Risk) classifications may include false positives or negatives.

2.3. Mandatory Consultation. Always seek the advice of a licensed physician for medical questions. Never disregard professional medical advice or delay seeking treatment based on information provided by Aedion.

2.4. Emergency Disclaimer. The Service is not intended for emergencies. In case of a medical emergency, contact a healthcare provider or dial 911 immediately.

3. USER ACCOUNT AND ELIGIBILITY

3.1. Eligibility. You must be at least 18 years old to use the Service. By registering, you represent that you have the legal capacity to enter into these Terms.

3.2. Account Management. You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You agree to provide accurate, current, and complete information during registration and to keep it updated.

3.3. User Responsibilities. You agree to use the Service only for lawful and intended purposes. Without limiting the foregoing, you agree not to:
i. Access or attempt to access the Service using any means other than the interface provided by Aedion;
ii. Modify, copy, reproduce, distribute, or create derivative works of any portion of the Service without Aedion’s prior written consent;
iii. Reverse-engineer, decompile, or attempt to extract the source code of the Service or its software components;
iv. Use the Service to transmit or store malicious code, spam, or unlawful material;
v. Interfere with or disrupt the integrity, security, or performance of the Service or related systems; or
vi. Engage in any conduct that could damage, disable, overburden, or impair Aedion’s servers or networks.

3.4. Termination of Access. Aedion reserves the right to suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or engage in activity that could harm the integrity or reputation of Aedion.

4. SUBSCRIPTION, BILLING, AND CANCELLATION

4.1. Tiered Access and Scope. The App operates on a tiered-access model consisting of Freemium, Premium, and Premium Plus tiers. Subscription billing applies exclusively to the App. The Web Portal is a free, chat-only platform and does not include any paid features.

4.2. Freemium Access. Freemium users have access to the AI Health Assistant and limited scanning (up to two scans per month).

4.3. Premium and Premium Plus Subscriptions.
A. Premium: Unlimited skin and eye scans; basic chat logging.
B. Premium Plus: Unlimited scans, priority AI processing, full chat and scan history logging, and progress-tracking tools.

4.4. Pricing and Free Trial.
A. Premium: $14.99/month or $164.89/year
*A 7-day free trial is available for the Premium tier only. Unless canceled before trial expiration, the user will be charged automatically at the Premium rate.
B. Premium Plus: $24.99/month or $274.89/year

4.5. Payment and Renewal. All billing is processed through third-party app stores (Apple App Store and Google Play Store). Subscriptions auto-renew unless canceled at least 24 hours before the current billing cycle ends.

4.6. Cancellations and Refunds. Cancellations must be managed directly through the app store. Subscriptions are non-refundable once billed. Refunds, if applicable, are governed solely by the app store’s policies.

4.7 Upgrades and Downgrades. Upgrades take effect immediately per app store billing rules; downgrades become effective at the next renewal period.

4.8 Price Changes. Aedion may modify subscription pricing or features at any time. Changes will be communicated prior to renewal.

5. DATA USE AND PRIVACY

Your use of the Service is subject to Aedion’s Privacy Policy, which explains how Personal Information and Sensitive Personal Data are collected, processed, and protected.

You consent to Aedion’s use of de-identified data (images, chat logs, and related outputs) for the purpose of improving AI model accuracy, bias reduction, and performance, as detailed in the Privacy Policy. Users may opt out of such AI training at any time through account settings.

6. LIMITATION OF LIABILITY AND INDEMNIFICATION

6.1. No Warranty. The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind.

6.2. Limitation of Liability. To the maximum extent permitted by law, Aedion and its affiliates are not liable for any damages, including those resulting from AI misclassification, reliance on AI results, or technical failures.

6.3. Cap on Liability. Aedion’s aggregate liability shall not exceed the greater of $100 or the total amount you paid within the last six months.

6.4. Indemnification. You agree to indemnify and hold harmless Aedion, its officers, employees, and affiliates from claims arising from your misuse of the Service or violation of these Terms.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. Binding Arbitration. Any dispute or claim arising from these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its rules. Arbitration shall take place in Wilmington, Delaware.

7.2. Governing Law. These Terms are governed by and construed under the laws of the State of Delaware, without regard to conflict of law principles.

7.3. Waiver of Class Actions. All disputes must be pursued individually; class, collective, or representative actions are not permitted.

8. GENERAL PROVISIONS

8.1. Entire Agreement. These Terms, together with the Privacy Policy, constitute the full agreement between you and Aedion.

8.2. Severability. If any provision is found invalid, the remaining sections remain enforceable.

8.3. Changes to Terms. Aedion may modify these Terms at any time. Updates will be posted within the App and Web Portal, and continued use constitutes acceptance.
